This agreement, executed between______________________(hereafter Artist)

and the Art Source Gallery, Inc. (hereafter Dealer), is for the purpose of sale of original artwork by the Artist in a professional gallery setting. Below are the conditions of the working agreement:

I hereby apply for membership in this cooperative gallery by submitting for consideration the following representative artworks. Selection for membership will be by three qualified, non-member jurors. Artwork will be selected on the basis of quality, originality, salability, and professional presentation. These artworks must remain at the gallery for a short period of time until the jurying process has been completed. Ann artist that has more than one discipline must submit five examples for each discipline. Acceptance does not mean immediate participation in the gallery.

The Artist is responsible for the complete customer-ready presentation, delivery, and insurance of all pieces delivered to the Dealer. The Dealer shall in no way be responsible for damage, theft, fire, or loss of the works of art while on the premises. It is the sole responsibility of the Artist to obtain such insurance as deemed necessary for value protection. The Artist retains ownership of their work while in the Dealer’s possession, during transit and until the work is paid for and delivered to the buyer. The Artist is also responsible for all inventory record keeping regarding works in the Dealer’s possession.

Upon acceptance to the Art Source Gallery, Inc. the Artist agrees to pay $75. Membership fee plus two months ( 1^st and 7^th mo.) rent of $90 each for a total initial cost of $265.Monthly rent of $90 is due on the first day of each month thereafter. Artist is entitled to 144 linear inches for two

dimensional art work and not more than 12 square feet for three-dimensional art work. Working artists are required to work 2 shifts of 4 hours in the gallery each month.

In addition to the membership fee, two months(1^st and 7^th mo.) rent of $200 for a total initial cost of $275. Monthly rent of $100 is due on the first day of each month thereafter.

Artist is entitled to 144 linear inches for two-dimensional artwork and not more than 12 square feet for three-dimensional artwork.

The Artist also agrees to an initial commitment of no less than six (6) consecutive months of participation and work in the gallery. Thereafter, the commitment will be on a month-to-month basis with a 30-day advance notice required for termination.

Equitable determinations for art work space allocations, fees and time commitments are subject to change by the board of Directors from time to time.

The Artist agrees to change approximately one-third of their artwork each month Sunday before the" First Thursday" downtown gallery stroll.

A commission of 15% will be collected by the Dealer on all sales. Any bank charges for credit card sales will be borne by the Artist. All Sales tax collected on sale of artwork will be remitted to the State of Idaho by the Dealer.

When an art work is sold, the Dealer will pay the Artist’s portion within 30 days. The Dealer will furnish the Artist with; Date of sale, Title of art work sold, Purchase price, Name and address of purchaser, if available.

The Artist agrees to abide by the By-laws as set forth and agreed upon by the members of this cooperative gallery.
